Quotation and Order Confirmation

• All quotations prepared by Worm’s blacksmith and machine shop, unless stated otherwise, are valid for 30 days.
• Only orders that we have accepted in writing are binding for us.
• Any orally agreed changes in the specifications of the ordered parts must be confirmed in writing by us to be valid.
  
  

Drawings and Descriptions

Drawings, proposals, and descriptions are our confidential property and may not be copied, presented to competing companies, executed, or otherwise disclosed without our permission.
The technical data listed in our catalogs and other printed materials, like drawings and illustrations, are not binding, as we reserve the right to make changes.
Drawings and descriptions remain our property unless otherwise agreed.

Price, Shipping, and Insurance
We reserve the right to change prices due to material costs, wages, and other expenses. In addition to the stated prices, VAT and similar charges are calculated according to current regulations.
Shipping is at the buyer’s expense and risk. Insurance is to be arranged by the buyer.

Packaging
Packaging is paid for by the buyer and is not returnable unless otherwise agreed. Taking the shipping method into account, we determine the packaging.

Delivery
If a delivery period rather than a fixed delivery date is agreed upon, it is calculated from the day that an agreement on all details regarding the delivery is reached, including that the buyer has fulfilled the agreed payment conditions and that any required import permits have been obtained. Delivery is considered to have occurred at the time of handover to the carrier.
The shipping time is subject to strikes, lockouts, or force majeure, including delays in delivery from our suppliers.
Exceeding the shipping time does not give the buyer the right to cancel orders or to refuse to receive the goods, nor does it exempt the buyer from complying with the payment conditions. No compensation is provided for operational losses, lost profit, or other costs due to delayed delivery.

Retention of Title
The goods sold remain our property until the entire purchase price is paid. Until then, the buyer is obliged to keep the delivered goods fully insured at their full value.

Right of Complaint
A one-year warranty is provided for defects in the delivered goods.

Payment Terms
The payment term is 8 days from the invoice date, unless otherwise specifically agreed.

Compensation
No compensation is provided for operational losses, lost profit, or other indirect losses as a result of defects or errors in the delivered goods.

Product Liability
The buyer shall hold Worm’s blacksmith and machine shop harmless to the extent that we become liable to third parties for damages and losses for which Worm’s blacksmith and machine shop, according to Sections 18 and 19, is not liable to the buyer.
Worm’s blacksmith and machine shop is not responsible for damage caused by the material:

• To real property or moveable property that occurs while the material is in the buyer’s possession,
• To products manufactured by the buyer, or to products in which these are incorporated, or for damage to real property or moveable property that these cause as a result of the material.
  Under no circumstances shall Worm’s blacksmith and machine shop be liable for operational losses, lost profits, or other indirect economic losses.
  If a third party makes a claim against one of the parties for liability under this section, that party must immediately notify the other party.

Cancellation
Cancellation of agreements cannot occur without our consent.

Jurisdiction Clause
Disputes between the buyer and Worm’s blacksmith and machine shop that cannot be resolved through negotiation shall be settled by the Maritime and Commercial Court in Copenhagen, in accordance with Danish law.
